Audit Support for Companies Within Groups

Group structures create questions that do not arise in a standalone company audit. The wider group may affect audit exemption, reporting scope, materiality, accounting policies and the timetable for completion.

UK Subsidiaries of Overseas Groups

A UK subsidiary can require an audit even when its own turnover, assets and employee numbers appear modest. The audit-exemption assessment may need to consider the entire worldwide group, while the UK company must still meet its own Companies Act and financial-reporting obligations.

We coordinate with overseas finance teams and group auditors while keeping the UK statutory requirements firmly in view.

Subsidiaries of UK Groups

We audit UK subsidiaries where an audit is required by law, requested by the parent, needed for consolidation or chosen for stronger governance. We can also help assess whether the small-group exemption or the section 479A parent-guarantee exemption is available and commercially appropriate.

Parent Companies

Where the UK company is itself a parent, we consider the entity and group position together. This includes group structure, consolidation requirements, component scope, intercompany balances and whether other auditors are involved.

Component Companies

We act as component auditor where another firm signs the group audit opinion. Our team follows group instructions, performs the required procedures and reports findings in the agreed format and timetable.

Private Equity-Backed Groups

Portfolio companies often face demanding investor reporting, acquisition accounting, covenant requirements and tight completion schedules. We focus the audit on material risks while maintaining clear communication with management, investors and the group team.

Practical Group Member Audit Support

A group member audit must satisfy the UK company’s legal obligations while fitting into a wider reporting process.

Audit Requirement Assessment

We review the UK company and the wider group before confirming the audit scope. This includes company and group size, the accounting period, the two-year rules where relevant, regulated or otherwise ineligible group members, shareholder requirements and any parent-guarantee proposal.

UK Statutory Audit

We perform the audit of the UK entity’s annual financial statements in accordance with applicable UK requirements. The work is planned around the company’s activities, systems, risk profile, accounting framework and place within the wider group.

Group Reporting Packages

Where the parent or group auditor requires a reporting package, we agree the instructions, deliverables and deadlines at the planning stage. This may include procedures over balances, disclosures, controls, related-party transactions and information prepared under group accounting policies.

Statutory Accounts Support

The local statutory accounts and the group reporting package may use different accounting policies, formats or materiality levels. We can prepare or review the UK financial statements, map group figures to local accounts and help resolve differences before sign-off.

Companies House Completion

Private companies normally have nine months after their financial year-end to file annual accounts with Companies House. We agree a timetable that works back from the earlier of the UK filing deadline and the group reporting deadline.

Resolve Group Audit Issues Early

Group member audits often become difficult because of coordination and evidence gaps rather than the underlying audit itself. Early planning gives management time to resolve differences before they delay local sign-off or group consolidation.

Confirm Whether an Audit Is Required

A UK subsidiary cannot assess audit exemption by looking only at its own figures. We document the conclusion before fieldwork begins, reducing the risk of discovering an unexpected audit requirement close to the filing deadline.

Reconcile Intercompany Balances

Loans, management charges, shared costs, sales and purchases often differ between group entities because of timing, currency or posting errors. We identify differences early, agree ownership of actions and obtain the support needed for the audit and consolidation.

Align Local and Group Reporting

The UK accounts may follow FRS 102, FRS 101 or UK-adopted IFRS, while the parent reporting package may use different policies and presentation. We help management create a clear bridge between the two reporting bases.

Meet Compressed Deadlines

The group auditor may require clearance before the UK statutory filing deadline. We agree the information request, testing dates, group deliverables and review process in advance so both workstreams can move together.

Manage Overseas Communication

Time zones, language, different audit methodologies and multiple approval layers can slow progress. ISA (UK) 600 requires effective communication and appropriate group-auditor involvement where component auditors are used. We establish contacts and communication routes at the outset.

Direct Communication

You receive clear requests, practical explanations and regular progress updates. Issues are raised early rather than held back until the completion meeting.

Flexible Coordination

We work with UK and overseas finance teams, parent companies and group auditors. Our approach adapts to the group’s systems, reporting templates and approval process without losing sight of UK audit requirements.

Risk-Focused Testing

The audit is designed around the risks that matter to the company and the group. This supports a robust opinion without turning the engagement into a generic checklist.

Transparent Scope and Fees

From R&D claims and revenue recognition to cash flow management, runway forecasting, and board-level reporting, we handle the financial complexity so you can focus on building and scaling your product. Our structured management reporting gives you clear visibility over performance, helping you make confident, data-driven decisions.

FAQs

Does every company within a large group need an audit?
A UK company’s position must be assessed individually, but group membership can remove access to the small-company audit exemption where the wider group is not small or is ineligible. Other exemptions may apply in limited circumstances, including the section 479A subsidiary exemption where every condition is met
Are overseas companies included when testing group size?
The assessment normally considers the entire group rather than only the UK subgroup or immediate parent. That can mean including overseas parent and subsidiary undertakings when evaluating whether the group qualifies as small.
What are the current small-group thresholds?
For financial years beginning on or after 6 April 2025, a group must satisfy at least two of these limits: turnover no more than £15 million net, balance-sheet total no more than £7.5 million net or £9 million gross, and no more than 50 employees
Can shareholders require an audit even when an exemption is available?
Yes. Members representing at least 10% of issued share capital, or 10% in number where there is no share capital, can require an audit by giving notice within the statutory timeframe.
Is a group reporting audit the same as a UK statutory audit?
No. Component procedures performed for the parent’s group audit follow the group auditor’s scope and materiality, while the UK statutory audit covers the subsidiary’s own annual financial statements under UK legal and auditing requirements.
